Purpose
This agreement outlines the professional services provided by THE FSTATE (Consultant) to CLIENT/ PROSPECT, focusing on public relations, multimedia communication, and business performance improvement. Services may include management, strategy, marketing, public relations, and other business areas as agreed.
Scope of Services
FSTATE will act as an independent contractor to provide public relations and consultation services. Specific services will be marked as follows:
[X] Meeting, Counsel & Creative Direction – Guidance on brand building, communication strategies, and innovation.
[X] Social Media Consulting – Analysis and improvement of the CLIENT’s online presence on platforms like Instagram and Facebook.
Additional services are detailed in project addendums.
Fees and Billing
Consultation Rates:
$99.88 for 15 minutes (prepaid).
$200 for 30 minutes (prepaid).
Retainers: Monthly PR retainers start at $2,500, with rates varying by scope and value.
Additional services: Only billed with prior written CLIENT approval.
Promotional Use
CLIENT agrees FSTATE may use CLIENT content for promotional purposes, such as portfolios, marketing, or limited-edition prints.
Client Obligations
CLIENT agrees to:
Provide logos, branded materials, and event schedules.
Update social media and email signatures to reflect FSTATE representation.
Refer all inquiries related to services under this agreement to FSTATE.

Term and Termination
The agreement term is one year, automatically renewing unless terminated with written notice. Early termination requires CLIENT to fulfill any outstanding payment obligations. Cancellation fees may apply based on completed work.
Rights and Confidentiality
Intellectual Property: FSTATE retains ownership of all work produced under this agreement. CLIENT grants exclusive, perpetual rights to use CLIENT’s endorsement (e.g., name, likeness) for agreed purposes.
Confidential Information: CLIENT agrees to safeguard FSTATE’s proprietary information, including business strategies and client details.
Dispute Resolution and Governing Law
Disputes will be resolved via binding arbitration in Johnson County, Texas, under Texas law.
Force Majeure
Neither party is liable for delays or failures caused by unforeseen events, such as natural disasters or government actions.
General Provisions
This agreement constitutes the entire understanding between the parties. Modifications require written consent. Notices must be sent to culture@thefstatemag.com.
By making payment, CLIENT agrees to these terms and conditions.
